Nili Terms of Service

Nili provides AI-powered business software designed to help businesses manage, analyse and automate business activities.

Nili may provide AI-powered teammates, recommendations, insights, task management, business integrations and automated workflows.

You are responsible for:

• Providing accurate account information
• Maintaining the security of your account
• Keeping your login credentials confidential
• Ensuring that people using your account are authorised to do so
• All activity conducted through your account

You must notify us if you believe your account has been accessed without authorisation.

You may use Nili only for lawful business purposes.

You are responsible for ensuring that your use of Nili complies with applicable laws and regulations.

You are also responsible for ensuring that you have the necessary rights and permissions to provide information to Nili or connect third-party services.

Nili uses artificial intelligence to generate recommendations, analysis, text, summaries and other outputs.

AI-generated information may contain errors or omissions.

You are responsible for reviewing AI-generated outputs before relying on them, particularly where they may have financial, legal, regulatory, employment, medical or other significant consequences.

Nili does not guarantee that AI-generated outputs will always be accurate, complete or suitable for a particular purpose.

Certain Nili features may allow the platform or an AI teammate to perform actions on your behalf.

These actions may include communications, content management, marketing activities, advertising-related activities, scheduling or other business operations, depending on the integrations and permissions you enable.

You remain responsible for configuring those features and authorising actions.

Where Nili provides approval or confirmation mechanisms, you should review actions before approving them.

Nili may allow you to connect third-party services such as:

• Google services, including Gmail, Calendar, Drive, Search Console, Analytics, Google Ads, Business Profile and Merchant Center
• Meta services, including Facebook and Instagram
• Email and communication services
• Accounting services
• CRM services
• Payment services
• Marketing and advertising platforms
• Other business software

When you connect a third-party service:

• You authorise Nili to access the information permitted by your selected permissions.
• You are responsible for maintaining any necessary third-party account.
• You confirm that you have the authority to connect the relevant business account, Page, advertising account, social media account or other service.
• Your use of the third-party service remains subject to that provider's terms and policies.
• Third-party service availability may affect Nili functionality.
• You can disconnect integrations where the relevant functionality is available.

You retain ownership of the business information, documents, content and other materials you provide to Nili ("Your Content").

You grant Nili the limited rights necessary to host, process, transmit and otherwise use Your Content to provide the services you have requested.

This may include processing information through connected third-party services and AI systems used to provide Nili's functionality.

You are responsible for ensuring that you have the necessary rights to provide Your Content to Nili.

You must not:

• Use Nili for unlawful purposes
• Attempt to gain unauthorised access to Nili or another user's account
• Interfere with the operation or security of Nili
• Circumvent usage or access restrictions
• Upload malicious software
• Abuse automated functionality
• Use Nili to violate another person's rights
• Use Nili to violate the terms or policies of connected third-party platforms
• Use Nili to conduct activities that are prohibited by applicable advertising, communications or platform policies
• Use Nili in ways prohibited by applicable law

Some Nili functionality may require a paid subscription.

Pricing, billing periods, usage allowances and applicable limits will be presented when you purchase or subscribe to a service.

Unless otherwise stated, subscription fees are non-refundable except where required by law or expressly provided by Nili.

We aim to provide reliable and continuously available services but do not guarantee that Nili will always be available or error-free.

Nili may temporarily suspend or restrict services for maintenance, security, upgrades or circumstances outside our reasonable control.

Third-party integrations may also become unavailable or change their functionality or access requirements.

Nili and its underlying software, technology, designs, trademarks and other intellectual property belong to Nili or its licensors.

These Terms do not transfer ownership of Nili's intellectual property to you.

We may suspend or terminate access where reasonably necessary to:

• Protect Nili or its users
• Prevent abuse or security incidents
• Address violations of these Terms
• Comply with legal requirements
• Stop fraudulent or unlawful activity
• Protect Nili from restrictions imposed by third-party platforms

You may stop using Nili at any time.

Nili is a software and AI assistance platform.

Nili does not provide professional legal, financial, accounting, medical or other regulated professional advice unless explicitly stated otherwise.

Nili does not guarantee the performance, availability, accuracy or continued compatibility of third-party services or platforms.

You are responsible for decisions made using information or recommendations generated by Nili.

To the extent permitted by applicable law, Nili will not be liable for indirect, incidental, special or consequential losses arising from your use of the services.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

We may update these Terms from time to time.

Updated Terms will be published on this page and the "Last updated" date will be changed accordingly.

These Terms are governed by the laws applicable to the jurisdiction in which Nili operates, subject to any mandatory rights you may have under applicable consumer or business law.
